The Corporate Affairs team offers a unique working experience at the highest level within ING in a dynamic environment and a closely-knit team. Corporate Affairs is looking for an energetic, diligent and pragmatic Associate Secretary to strengthen the team within the Corporate Legal Affairs department. Together with your colleagues you play a key role in supporting ING's corporate boards. Your (direct) colleagues are corporate secretaries, legal corporate law and governance specialists, legal tech & ops specialists, business consultants and senior business support officers.

The Corporate Affairs team:

1. Contributes to compliant, effective and efficient corporate governance by:

  • guiding high quality proposals to the corporate boards to ensure effective corporate decision making,

  • facilitating well-prepared, efficient board meetings,

  • adhering to applicable standards, laws and regulations, and

  • using digital/tech solutions where possible

2. Provides adequate assurance, advice and support on board related content and process matters.

3. Acts as gatekeeper and liaison between the corporate boards, the rest of the ING organisation and its stakeholders, such as regulatory and supervisory bodies.

Roles and responsibilities

Corporate Housekeeping support related to responsibilities of ING's corporate boards

Maintain and keep several board related documents up to date, responsible for coordinating board related processes and preparing statements, declarations or related activities. Having a key role in preparing the year plan for the Supervisory Board and its Committees, aligned with their roles & responsibilities as laid down in for example charters.

Annual Report & Annual General Meeting (AGM) support

Provide input pertaining to board members for the relevant sections of the Annual Report of ING Group and Bank (such as the SB report and certain sections of the Corporate Governance chapter) and related documents. Support the AGM team and process and is involved in drafting of AGM related documents.

Board meeting related documentation services, including due diligence

Coordinate and prepare board meeting related information and due diligence requests, largely driven by regulatory requirements, such as SOX and as established by the DNB/ECB and other regulatory/supervisory bodies. This includes providing and communicating with stakeholders such as ING's supervisors/regulators and internal and external auditors.

Required skills & experience:

  • Academic degree in law and/or economics, business administration;

  • Minimum of 5 years relevant experience, preferably in a corporate environment (of a larger and/or complex organisation) with affinity for board related matters and an understanding of and affinity with corporate governance and legal related matters;

  • Profound skills working with MS Office (Outlook, Word, Excel, PowerPoint) and Adobe as well as affinity with other digital solutions like iManage;

  • Excellent communication skills both spoken and in writing in English, proficiency in Dutch would be an advantage;

  • Ability to navigate ambiguity in a fast-paced and complex environment;

  • Is pragmatic, client focused, able to translate strategy into concrete actions;

  • Solid skills to assume a high level of responsibility, with proven influencing and interpersonal skills and problem-solving capabilities;

  • Resilience, can perform under pressure, prioritize and quickly navigate amongst several topics;

  • Capable of building and maintaining relationships with other colleagues/departments in a dynamic and complex environment.
