Legal Counsel

As a Legal Counsel specializing in corporate Law, contract Law, privacy and mergers and acquisitions (M&A), you play a pivotal role. Your responsibilities encompass a range of legal matters, ensuring the company operates within the boundaries of applicable laws and regulations while strategically managing legal risks.

The role requires a combination of legal expertise, strategic thinking, and effective collaboration with various stakeholders to ensure the organization's legal compliance and success.

Corporate law:

a.      Provide expert guidance on matters related to company governance and compliance.

b.      Draft and review articles of incorporation, bylaws, and other corporate documents.

c.      Ensure compliance with company law regulations in all jurisdictions where the organization operates.

Contract law:

a.      Advise on a broad spectrum of corporate issues, including contracts, commercial transactions, and regulatory compliance.

b.      Draft, review, and negotiate various contracts such as vendor agreements and partnership agreements.

c.      Collaborate with internal stakeholders to ensure corporate activities align with legal requirements.

Privacy:

a.      Oversee and ensure compliance with data protection laws and regulations.

b.      Develop and implement privacy policies, procedures, and training programs.

c.      Advise on privacy implications in product development, marketing, and other business activities.

Mergers and Acquisitions (M&A):

a.      Lead legal due diligence efforts during M&A transactions.

b.      Provide strategic legal advice on the structuring and execution of M&A transactions

c.      Draft and negotiate M&A agreements, including stock purchase agreements, and merger agreements, in collaboration with external Professional legal service providers.

Risk Management:

a.      Identify and assess legal risks associated with business operations.

b.      Collaborate with other departments to implement risk mitigation strategies.

c.      Keep abreast of changes in laws and regulations, providing proactive advice to senior management.

Collaboration:

a.      Collaborate with other legal professionals ( external lawyers and consultants) and departments ( Tax, Risk, .....) to address cross-functional legal issues

You will be part of one of the world's largest HR organisations. The office is located in Almere and hybrid working is possible.
